Public Offer Agreement

for the provision of informational and consulting services in the field of photography

1. General Provisions
1.1. This document is an official offer (public offer) of Vibrantassunto LDA (hereinafter – the “Provider”) to conclude an agreement for the provision of informational and consulting services, consultations, workshops, and master classes in photography (hereinafter – the “Services”).
1.2. In accordance with the provisions of the Portuguese Civil Code (Código Civil Português), this document constitutes a public offer. Payment by the Client signifies acceptance of the terms of this offer and conclusion of the agreement.
1.3. Full and unconditional acceptance of this offer shall be deemed the fact of payment by the Client. From the moment of acceptance, an agreement between the Provider and the Client shall be considered concluded.
1.4. This agreement is concluded in electronic form by means of acceptance of the offer and has the same legal force as an agreement signed in writing by both parties.

2. Subject of the Agreement
2.1. The Provider delivers Services in the form of online or offline consultations, workshops, photography master classes, as well as other informational and consulting events. The list and description of such Services are published on the official website of the Provider: https://fotografika.su.
2.2. The specific content, format, duration, and cost of the Services are indicated on the said website or in other informational materials provided by the Provider.
2.3. The Provider is entitled to engage third parties (including invited experts, photographers, curators, and other specialists) for the provision of the Services.
2.4. Types of Services and Pricing
The Services may be provided in different formats, including but not limited to:
– monthly subscription to workshops and consultations (Workshop Subscription);
– subscription to the alumni community (Alumni Club);
– access to photographic events (Artist Talk);
– one-off individual  photography consultations (Consultation in photography).
The cost of each type of Service is specified on the official website of the Provider and in its informational materials.

3. Procedure for the Provision of Services
3.1. The Client independently selects the type of Services published on the Provider’s website and makes the payment.
3.2. Payment is made in the form of a subscription, which involves a regular monthly charge of the established amount from the Client’s card (or by another method available through the Stripe payment system).
3.3. The fact of payment confirms the Client’s agreement with the terms of this offer.
3.4. The Provider delivers the Services in the scope and manner specified in the description of the selected program, workshop, or master class.

4. Rights and Obligations of the Parties
4.1. The Provider shall:
– deliver the Services in accordance with the description published on the website;
– provide access to materials (recordings, presentations, working materials), if such access is stipulated by the format of the selected Service;
– engage invited specialists, if necessary.

4.2. The Client shall:
– pay for the Services in a timely manner;
– ensure the technical conditions necessary for participation (internet connection, device for access, etc.);
– use the received materials solely for personal purposes, without distributing them to third parties without the Provider’s consent.

5. Cost and Payment Procedure
5.1. The cost of the Services is indicated on the Provider’s website.
5.2. Payment is made in the form of a subscription (monthly charge) or as a one-time payment for the selected Service.
5.3. Payment is carried out through the Stripe payment system or by another available method.
5.4. In case the Services cannot be delivered due to the Provider’s fault, the Client shall be refunded the full amount paid.

6. Liability of the Parties
6.1. The Provider is responsible for the timely and proper delivery of the Services.
6.2. The Provider shall not be liable for the impossibility of delivering the Services in cases of technical failures on the part of the Client or third parties.
6.3. The Client is responsible for the accuracy of the data provided and the timeliness of payment.

7. Miscellaneous
7.1. This agreement is concluded in a simplified manner in the form of a public offer and does not require bilateral signing.
7.2. The Provider may amend the terms of this offer by publishing an updated version on the website.
7.3. In all matters not regulated by this offer, the parties shall be governed by the current legislation of Portugal.
